Terms of Service for Swan Lake Consulting

1. Agreement to Terms
Welcome to Swan Lake Consulting ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at [swanlakeconsulting.com] (the "Site") and our educational consulting services (the "Services"), including but not limited to the "Turnaround Lab," "Sustain Partnership," and "ISS Transformation" programs.
By accessing our Site or engaging us to provide Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a school, district, or other organization, you represent that you have the authority to bind that entity.
2. Our Services
Swan Lake Consulting provides professional development, student intervention, and strategic consulting services to K-12 educational institutions. All Services are described on our Site and will be detailed in a separate, written Service Agreement (or "Statement of Work") that will be executed prior to the commencement of any paid Services. These Terms are incorporated by reference into any such Service Agreement.
3. Client Responsibilities (For Schools & Districts)
When engaging our Services, you agree to:

Provide accurate and complete information necessary for us to perform the Services.

Designate a primary point of contact for coordination.

Secure appropriate facilities, technology, and student/staff access as outlined in the Service Agreement.

Obtain any necessary parental/guardian permissions or waivers for student participation, as required by your district policies and FERPA.

Adhere to all payment terms as specified in the Service Agreement.
4. Payment Terms
Fees for our Services will be specified in the Service Agreement. Unless otherwise stated:

Invoices are payable within 30 days of receipt.

A 50% deposit may be required to secure dates for certain Services (e.g., the Turnaround Lab).

Late payments may be subject to a fee of 1.5% per month or the maximum allowed by law.

All fees are non-refundable once Services have been rendered, except as required by law.
5. Confidentiality & Data Privacy
We respect the confidentiality of your information.

School Data: We will treat all non-public information provided by you ("Confidential Information"), including student data, as confidential. We will comply with the Family Educational Rights and Privacy Act (FERPA) and act as a "School Official" with a legitimate educational interest when handling student education records, as outlined in our Service Agreement and Privacy Policy.

Our Materials: All curriculum, worksheets, methodologies, and training materials ("Our IP") provided are our confidential and proprietary intellectual property. You are granted a limited, non-exclusive license to use Our IP solely for internal purposes in connection with the Services received. You may not reproduce, distribute, or commercialize Our IP without our prior written consent.
6. Intellectual Property
The Site, its original content, features, functionality, Our IP, and the Swan Lake Consulting name and logo are and will remain our exclusive property. You may not use our trademarks, logos, or service marks without our prior written permission.
7. Disclaimer of Warranties; Limitation of Liability
OUR SERVICES AND SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL SWAN LAKE CONSULTING, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
8. Indemnification
You agree to defend, indemnify, and hold harmless Swan Lake Consulting from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your violation of these Terms, your use of the Services, or your failure to secure necessary permissions for student participation.
9. Termination
We may terminate or suspend your access to the Site or our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved through confidential, binding arbitration in Clark County, Nevada in accordance with the rules of the American Arbitration Association. Judgment on the award may be entered in any court having jurisdiction.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date. Your continued use of the Site after such modifications constitutes acceptance of the new Terms.
